3.2 Service Agreements

All service engagements are governed by a separate written agreement, Statement of Work (SOW), or Service Level Agreement (SLA) signed between Yaa Creations and the client. In the event of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.

3.3 Project Deliverables

Yaa Creations will use commercially reasonable efforts to deliver services as agreed. Timelines are estimates and may be subject to change due to scope changes, client delays, or unforeseen technical challenges. Significant changes in scope must be agreed upon in writing and may affect timelines and pricing.

4. Website Use

4.1 Permitted Use

You may use our website for lawful purposes only. You agree not to:

• Transmit any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to any part of our website or systems
• Disrupt or interfere with the website’s functionality or security

5.2 Client-Owned Deliverables

Upon full payment of all applicable fees, the client will own the intellectual property rights to the custom software deliverables developed specifically for them, as outlined in the project agreement. Any pre-existing or third-party components, open-source libraries, or Yaa Creations’ proprietary tools used in the project will remain the property of their respective owners.

5.3 Portfolio Rights

Yaa Creations reserves the right to reference the client’s name and project type in our portfolio, case studies, or marketing materials unless the client explicitly requests otherwise in writing.

6. Payments & Billing

Payment terms, rates, and billing schedules are defined in each project’s service agreement. General conditions include:

• Invoices are due within the timeframe specified in the project agreement (typically 15–30 days)
• Late payments may attract interest charges as specified in the agreement
• Yaa Creations reserves the right to pause or suspend work on overdue accounts
• All fees are exclusive of applicable taxes (GST/HST/GST-Singapore) unless stated otherwise

7. Confidentiality

Both parties agree to keep confidential all proprietary and sensitive business information shared during the course of the engagement. Confidentiality obligations will be governed by the Non-Disclosure Agreement (NDA) or confidentiality clause in the project agreement. This obligation survives the termination of the service relationship.

8. Warranties & Disclaimer

8.1 Service Warranty

Yaa Creations warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a defect correction warranty period as specified in each service agreement.

8.2 Website Disclaimer

The website and its content are provided on an ‘as is’ and ‘as available’ basis without any warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Yaa Creations shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services. Our total liability for any claim arising from a service agreement shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Yaa Creations and its directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from: (a) your use of the website; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

11. Termination

11.1 By Client

Clients may terminate a service engagement in accordance with the termination provisions in the project agreement. Fees for work completed to the date of termination remain payable.

11.2 By Yaa Creations

Yaa Creations may suspend or terminate services with written notice if: (a) the client breaches these Terms or the project agreement and fails to remedy the breach within 14 days; (b) the client becomes insolvent; or (c) circumstances arise beyond our reasonable control that prevent service delivery.

12. Force Majeure

Yaa Creations shall not be liable for delays or failure to perform obligations due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, internet outages, power failures, government actions, pandemics, or cyberattacks. We will notify affected clients promptly and make reasonable efforts to resume normal operations.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or services rendered shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to arbitration or the exclusive jurisdiction of the courts in Tamil Nadu, India.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised ‘Last Updated’ date. Continued use of our website or services after the changes take effect constitutes your acceptance of the revised Terms.

15. Severability
